End User License Agreement — Arignote

1. Acceptance of Terms

By accessing, purchasing, or using Arignote Timetable or Arignote Timeclock (each, the "Software"), you agree to be bound by the terms of this Application License Agreement. If you do not agree to these terms, do not use the Software.

2. Solver Engine & Mathematical Feasibility (Arignote Timetable)

This section applies specifically to Arignote Timetable. You acknowledge that Arignote Timetable utilizes a highly advanced solver engine to compute timetable solutions based on user-provided constraints. However, YOU EXPRESSLY AGREE AND UNDERSTAND THAT NOT ALL TIMETABLES HAVE A MATHEMATICAL SOLUTION. The application does not and cannot guarantee that a valid solution exists for your specific constraints. Failure to find a solution is an inherent mathematical possibility and does not constitute a defect in the Software.

3. Irrevocable Waiver of Claims

To the maximum extent permitted by applicable law, you irrevocably waive any right to pursue legal, judiciary, or economic claims against Arignote OÜ arising from the use, inability to use, or failure of the Software to produce a desired timetable or accurate time-and-attendance records. You assume all risks associated with the configuration and scheduling outcomes of the Software.

4. Disclaimer of Warranties

The Software is provided "AS IS" and "AS AVAILABLE", without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose and non-infringement. Arignote OÜ does not warrant that the Software will meet your specific requirements, operate without interruption, or be error-free.

5. Limitation of Liability

In no event shall Arignote OÜ be liable for any direct, indirect, incidental, special, exemplary, or consequential damages (including, but not limited to, procurement of substitute goods or services; loss of use, data, or profits; or business interruption) however caused and on any theory of liability, whether in contract, strict liability, or tort (including negligence or otherwise) arising in any way out of the use of this software.

6. Intellectual Property Rights

All rights, title, and interest in and to the Software, including any algorithms, designs, and proprietary logic, are and will remain the exclusive property of Arignote OÜ and its licensors. This license is not a sale and does not convey any rights of ownership in or related to the Software.
